Major, Lindsey & Africa is representing a well-respected renewable energy company seeking a skilled Project Finance Attorney for a 9+ month assignment. The role focuses on financing, structuring, and monetization of renewable energy projects, working closely with development and commercial teams.

Responsibilities

• Lead and support legal aspects of project financing transactions, including:
• Tax equity financing
• Construction and term debt financing
• Draft and negotiate financing documents (credit agreements, security packages, intercreditor agreements, guaranties)
• Advise on deal structure, risk allocation, and execution strategy to ensure bankability and close
• Draft and negotiate APAs, MIPAs, and portfolio sale agreements
• Support project sales, syndications, and transfers, including diligence, data rooms, and closing
• Advise on assignment/consent requirements, transfer restrictions, and risk allocation (reps, warranties, indemnities)
• Partner with development teams to align EPC, PPA, and supply agreements with financing and exit requirements
• Review key project contracts (EPC, LTSA, PPA/offtake) for lender and buyer readiness
• Advise development, finance, and commercial teams on legal impacts to timelines, monetization strategy, and risk/return

Skills

• At least 8+ years of relevant experience
• Significant experience in renewable energy project finance
• Strong track record negotiating financing transactions (tax equity and/or debt)
• Strong track record negotiating project sales / APAs
• Deep understanding of lender requirements, security structures, and deal execution
• Proven ability to independently manage deals and close transactions
• Strong commercial judgment; thrives in fast-paced environments
• J.D. and active bar license
